Ich mache mal einen Faden für Frontier auf, da es den wohl noch nicht gibt. Im BB wird schon seit längerem über die Anleihen diskutiert und auch hier wurden schon Transaktionen gepostet.

 

Frontier hat 2015 mehrere Milliarden USD in eine Übernahme von Verizon Assets gesteckt: Frontier Communications to Acquire Verizon Wireline Operations in California, Florida and Texas

...und dafür Anleihen ausgegeben, die jetzt nicht mehr so leicht zurückzahlbar oder rollbar sind: die Renditen der Anleihen liegen teilweise bei bis zu 18% p.a. in USD bei Langläufern, da eine Pleite des Unternehmens aufgrund der enormen Schulden nicht auszuschließen ist.

Da es aber Anfang 2018 einen 1.6 Milliarden USD Tender für die Kurzläufer bis 2019-2022 gab und dafür eine 2nd Lien Anleihen mit Laufzeit 2026 (8,5%) ausgegeben worden ist, sieht die jetzige Aufstellung vermutlich wie folgt aus (Dank geht an TheOwl von Seeking Alpha):

Außerdem ist die Dividende zum letzten Quartal ausgesetzt worden und die Pref Shares laufen meines Wissens zum Halbjahr aus. Obwohl der Umsatz und auch die Kundenzahlen seit der Übernahme teils heftig gesunken sind, denke ich, dass der Schuldendienst bis 2021 bzw 2022 gemeistert werden kann.

Neue Quartalszahlen sind da. Leider nicht so prickelnd wie erhofft.

 

Aktuelle Schuldenübersicht:

Man sieht ganz deutlich, dass die variablen Zinsen der Secured Debt (oben rötlich eingerahmt) stark gestiegen sind. Aus dem Grund hat Frontier die 228 Mio USD "Term loan due 10/24/2019" (8,375%) und weitere 6 Mio USD "Term loan due 10/12/2021" (8,375%) zurückgezahlt und gleichzeitig die "Term loan due 6/15/2024" (5,850%) um 240 Mio USD aufgestockt. Zinsersparnis von 19,5975 Mio USD - 14,04 Mio USD = 5,5575 Mio USD pro Jahr. Darüber kann man sich zwar freuen, aber durch den Anstieg der durchschnittlichen Zinsen von 8,1% and 8,7% sind die jährlichen Zinszahlungen vor diesem kleinen Tausch der Term loans bereits von ca. 1,447 Milliarden USD auf 1,538 Milliarden USD gestiegen.

 

In Q1 2018 wurden außerdem noch 48 Mio USD Nominale der 2018er Notes zurückgezahlt. Ein kleiner Tropfen auf den heißen Stein. Und wie vorher schon im Thread besprochen wurden kurzfristige Unsecured (2020-21) gegen längerfristige Secured (2026) getauscht.

 

Cash and cash equivalents sind um 22 Mio USD auf 384 Mio USD gestiegen. Am 01.10.2018 werden 443 Mio USD der 2018er Notes fällig.

 

Customer Churn ist weiterhin bei knapp 2% und der Umsatz ist (angeblich wegen der Saisonalität) wieder etwas stärker zurückgegangen im Vergleich zu Q1.

Damit könnte 2022 gelöst worden sein. Andererseits, es ist schon so viel schief gelaufen, dass man den Tag nicht vor dem Abend loben sollte. Habe mir trotzdem die Sept 2020 FTR Anleihe ins Depot gelegt. Schien vorher bereits sicher und sollte jetzt noch sicherer sein. Etwas mehr als 10% p.a für ca. 15 Monate in USD.

From 1998-2007, he served as Group President of Operations at ALLTEL Corporation, a publicly traded telecommunications services company. Prior to that, Mr. Beebe served as Executive Vice President of Operations for 360◦ Communications Co., a publicly traded wireless communications company from 1996-1998, and from 1983 to 1995 Mr. Beebe served in various management roles at ATT, Southwestern Bell and United Telecom/ Sprint.

 

Mr. Keglevic served as Chief Executive Officer of Energy Future Holdings, a regulated transmission and distribution business, from October 2016 to March 2018 and also served as Chief Restructuring Officer of Energy Future Holdings from December 2013 to March 2018. Mr. Keglevic served as Executive Vice President, Chief Financial Officer and Chief Risk Officer at TXU Corporation, an electric utility company that became Energy Future Holdings when it was taken private in 2007 as part of a leveraged buyout, from July 2008 to September 2016. ...und FTR verliert 12% am Tag dieser zwei Nachrichten. Warum? Zufall? Traut man dem vorigen Interim, jetzt Permant CFO Sheldon Bruha den Job nicht zu? Sind die drei neuen Directors ein schlechtes Omen für die Aktionären und/oder Bondholder?

...actually thats been my life for decades having run a distressed fund for decades, so I can see whats gonna happen months ahead. Why, cause this is what I would do if I sat in my old seat.

 

These guys having represented hedge funds for decades.. Does FTR have to file this year No, will they very likely. All these guys do is advise on corporate restructurings why different Now...Your not long FTR common I hope..

Man soll ja nicht alles glauben was "irgendwer" schreibt, aber da ich (leider?) kein Experte bzgl. Restrukturierungen bzw. Chapter 11 bin, würde ich gerne eure Meinung dazu hören. Ich bin mir auf jeden Fall sicher, dass der Kreativität keine Grenzen gesetzt sind. Siehe HSH.

 

Wann kann sich FTR in Chapter 11 begeben? Ich gehe momentan davon aus, dass FTR mit dem Cash aus dem Asset Sale 2022 überstehen und möglicherweise sogar bis 2025 durchhalten könnte. Könnte FTR heute sagen "Hey, wir können voraussichtlich in 2025 (oder 2022) unsere Schulden nicht mehr begleichen / rollen und würden deswegen dieses Jahr schon Chapter 11 anmelden..."? Abgesehen davon, warum einen Asset Sale ankündigen und danach Chapter 11 anmelden? Macht für mich keinen Sinn, aber wie gesagt ich bin kein Experte auf dem Gebiet.

Ich bin aus der 27 ausgestiegen, beim Querlesen im BB wird aber bis zu den 20 gute Chancen gesehen, das es klappen könnte (was auch YTM um 10% reflektiert) 

Danach steigt YTM auf >20%  Rendite an, was eben das dtl. höhere Risiko einer Insolvenz einpreist. Aber da sag ich dir wahrscheinlich nichts Neues.

Schade, aber trotzdem danke für deine Antwort. Und ja, Insolvenz ist selbstverständlich möglich.

 

- Der Asset Sale soll innerhalb eines Jahres stattfinden, daher kann man meiner Meinung nach 2019 noch als "normales" Geschäftsjahr ansehen. Nehmen wir die Rechnung von neulich und kalkulieren mit möglichen 550 Mio USD für den Schuldendienst in Rest 2019, da Q1 bereits rum ist.

- Die veräußerten Assets hatten zwischen Q1 2018 und Q1 2019 einen Anteil von knapp 8% am Umsatz und am Adjusted Ebitda. Reduzieren wir daher die Summe, die für den Schuldendienst genutzt werden könnte, auf 500 Mio USD p.a. für 2020 und 2021.

- Bis Ende 2021 kommen wir also auf 1.550 Mio USD. Dazu kommen weitere (850-375 Mio USD) 475 Mio USD vom Revolver und 1.352 Mio USD vom Asset Sale. In der gleichen Zeit werden 585 Mio USD fällig. Es blieben also 2.792 Mio USD über.

- In 2022 werden dann insgesamt 2.706 Mio USD fällig. Nehmen wir die 2.792 Mio USD als Guthaben und rechnen weitere 500 Mio USD aus der Geschäftstätigkeit für den Schuldendienst dazu, dann hätten wir zum Jahresende 586 Mio USD in der Kasse.

- Weitere 500 Mio USD aus der Geschäftstätigkeit für den Schuldendienst in 2023 zu den 586 Mio USD in der Kasse, aber dafür 868 Mio USD zu tilgen. Blieben noch 218 Mio USD über.

- In 2024 werden dann Unsecured Notes in Höhe von 750 Mio USD fällig und sowohl der Term Loan als auch der Revolver müssten gerollt werden.

 

Auf jeden Fall sehe ich weiterhin keine gravierenden Schwierigkeiten, die Schulden bis Ende 2021 und möglicherweise sogar bis Ende 2023 zu tilgen. Sollte 2022 wirklich getilgt werden können, dann wären die Schulden um ca. 3,3 Milliarden USD und die Zinslast um ca. 315 Mio USD (14,62 + 4,88 + 8,23 + 13,75 + 43,75 + 229,74) reduziert. Möglicherweise kommt auch noch ein positiver Effekt hinzu, wenn FTR Anleihen unter Par zurückkaufen kann. Und sollte wirklich ein Tender aus dem Asset Sale resultieren, dann wäre das zusätzlich positiv. Negativ wären natürlich weitere Umsatz- und damit verbundene Ebitdarückgänge, die allerdings ziemlich wahrscheinlich sind.

Frontier has Options to Avoid Bankruptcy, Aurelius Says

Aurelius Capital Management LP is calling for Frontier Communications Corp. to pursue an out-of-court debt exchange and says there’s no “defensible basis” for the company to file for Chapter 11 bankruptcy before trying its proposal. Frontier’s stock and bonds rose.

 

Mark Brodsky’s hedge fund holds Frontier shares, a “substantial amount” of some Frontier notes, and a long position in Frontier’s debts through credit default swaps, according to a June 19 letter to Frontier’s board. The debt holdings include so-called non-CTF unsecured bonds due in 2022 and 2023. Aurelius isn’t a member of any ad hoc bondholder group, according to the letter, which was signed by Managing Director Dennis Prieto.

 

Aurelius’s recommendations “provide a road map for the board to create substantial value for Frontier’s shareholders, both through de-levering and by increasing the option value inherent in the stock,” the letter said. “In contrast, a near-term Chapter 11 would result in a wipe-out for shareholders.”

 

A representative for Frontier declined to comment. The company’s shares rose as much as 23% and its 7.125% notes due in January 2023 gained 1.5 cents on the dollar to 61.5 cents.

 

Frontier creditors have been calling for the telecommunications company to engage in negotiations to address its $17 billion of debt. The company recently appointed new board members with turnaround experience, and agreed to a $1.4 billion asset sale. Some bondholders have called for an out-of-court transaction amid speculation that the company might seek Chapter 11 protection.

 

Aurelius said the company should exchange or tender for $3.5 billion of CTF and non-CTF bonds maturing in 2022 and 2023 and 51% of the CTF bonds due in 2025, with the 2022 and 2025 CTF notes amending their lien covenant as part of the transaction. Participating holders would receive new secured debt and possibly cash, having a value about 10% above current market prices.

 

Debt Impact

 

The suggested transaction would allow Frontier to extend its debt, reduce net borrowings by more than $1.5 billion and generate $200 million in annual interest expense savings, Aurelius said. Leverage would be cut from 4.74 times to 4.26 times a key measure of earnings, according to the letter. It would also free up cash flow and enhance the company’s ability to deleverage further, such as by purchasing more long-dated unsecured bonds.

 

Frontier’s debt situation is also fundamentally different than what happened to Windstream Holdings Inc. -- which filed for bankruptcy after Aurelius alleged a debt default -- because that case turned on Windstream violating the plain language of its covenants, according to the letter.

 

“Respectfully, the Windstream decision should play no role in your decision regarding Frontier’s capital structure,” Aurelius said. A Windstream representative declined to comment.

The company shouldn’t seek to pursue an out-of-court comprehensive restructuring of its unsecured bonds, as some holders of back-end bonds have sought, because it is a “mirage” that will “immutably and swiftly” lead to Frontier filing for bankruptcy, Aurelius said.

 

Even if Aurelius’s proposal fails, “Chapter 11 will be no less available than it is today,” the hedge fund said. “Indeed, the threat of Chapter 11 should put the company in a strong position in negotiations with holders of near-dated bonds regarding the exchange/tender offer.”

--> In Q1 und Q3 muss FTR proportional höhere Zinszahlungen leisten als in Q2 und Q4, daher kann es gut sein, dass die Schulden etwas steigen werden (50-100 Mio USD) oder zumindest der Posten "Cash" in ähnlicher Höhe zurückgeht.

 

FTR hatte zum Halbjahresende 267 Mio USD an Cash. Da die letzten großen Zinszahlungen für 2019 mittlerweile bezahlt worden sind (15.09.19 - 322,19 Mio USD und 01.10.19 - 140,84 Mio USD), sieht der Fahrplan für die nächsten Monate ungefähr folgendermaßen aus:

Soweit ich es verstehe versuchen sie gerade eine Umschuldung ohne Ch11 auszuhandeln. Das Problem ist, dass die Bondholder sehr unterschiedliche Vorstellungen haben: m.W. gibt's da auch welche, die meinen Ch11 wäre der beste Weg für eine Umschuldung, einige lehnen jegliche Umschuldung ab. Das alles unter ein Dach zu bringen ist eine riesige Herausforderung und ich persönlich bin da nicht besonders optimistisch. Solange die Verhandlungen laufen wird es kein Default geben, wie lange sie noch verhandeln können wissen wahrscheinlich nicht mal Insider. Zeit haben sie genug aber ewig kann es auch nicht dauern.

Natuerlich bin ich hier investiert. Wir handeln ca. auf der Restructuring Quote und je laenger sich das hinzieht desto mehr clippings. Und natuerlich muss man im First Lien drin sein, der leider noch bei 102 handelt (8,5% Kupon).

Das ist klar. Beim eventuellen Restructuring wird die allgemeinen Panik voraussichtlich auch "sichere Anleihen" erfassen, die es dann gilt auf leicht niedrigerem Niveau abzugreifen.

Moin,

 

habe mir die Zahlen angeguckt und bin etwas perplex (negativ überrascht sowieso). Hoffe, der 10-Q klärt da auf, da weiterhin keine Q&A beim CC zugelassen.

 

- Umsatz zum vergangenen Quartal um 3,39% abgesoffen (2,067 zu 1,997 Mrd USD)--> seit 2017 Q4 gab es keinen so starken Rückgang

- EBITDA (ohne Goodwill und Disposal von Assets) zum vergangenen Quartal um 8,94% abgesoffen (828 zu 754 Mio USD) --> seit 2017 Q4 gab es keinen so starken Rückgang

 

Zwar muss ich noch den 10-Q abwarten, aber meine Excel sagt mir momentan, dass FTR im Vergleich zum vergangenen Jahr lediglich ca. 78 Mio USD an Liquidität "verloren" hat. Kommt mir bei den bescheidenen Zahlen etwas wenig vor (letztes Jahr waren es übrigens sogar 100 Mio USD an Liquiditätsrückgang). Vielleicht habe ich mich irgendwo verrechnet.

 

FTR hat den Revolver benutzt und das Geld steht jetzt als Cash in der Bilanz - warum weiß ich leider nicht. Für irgendetwas wird es wohl gebraucht werden.

Misses Low Expectations; Draws Full Revolver

Frontier reported 3Q19 results that fell short of the already low bar set by the Street. Moreover, the company drew the full amount of its revolver leaving the company with $683mn in cash as its only source of liquidity.

3Q Results fall short. Frontier posted revenue of $1,997mn which was well below the consensus estimate of $2,019mn. EBITDA was also lower at $804mn compared to the $825mn analysts were looking for. The weakness was a result of increased consumer churn as well a $17mn charge to accounts receivable over billing disputes with other carriers.

No guidance. FTR provided no guidance for the future but this was expected as the company said it would no longer offer insight into coming results during its last earnings call. Management did offer up the idea that 4Q19 will benefit from normally better seasonality and thus may face less pressure than 3Q. The 3Q call remained a pre-recorded event with no opportunity for Q&A.

Revolver fully drawn. Management said that FTR had $683mn in cash on its balance sheet including proceeds from tapping the remaining $500mn of its $750mn revolving credit facility.

Last of the goodwill. FTR recorded a goodwill impairment charge of $276mn during the quarter. The company stated that the charge resulted in a net goodwill balance of zero at the end of the third quarter.

And the covenants? In the past we calculated the cushion that we believed the company had under its legacy bond covenants if no credence is given to carve-out #14 (see our note here). We won't waste any time on that this quarter as the asset write down and revolver draw puts the company uncomfortably outside the covenant limit in our view. Recall that the bonds have an ample 40 day cure period which would not begin until bondholders formally inform the trustee of an event of default. Furthermore, 4Q is a strong cash flow period for the firm that may allow FTR to pay down some debt if necessary.

Bottom line. Another tough quarter for Frontier. Although with bonds trading to recovery values, not entirely unexpected. Will the company seek bankruptcy protection in 4Q? We don’t think so. Rather, we see the company continuing to pursue an out of court settlement for now, with a likelier chance of filing for Chapter 11 early next year.

Better Subs, Weaker Financials; Model Update

Frontier reported third quarter results and once again did not host a Q&A session, as previously communicated. Subscriber trends came in weak and adjusted EBITDA results were 3.4% below our estimate on revenue declines associated with sub losses, accounts receivable reserves in the wholesale segment, and increased expenses from storm-related overtime work. Broadband net losses were 71k vs. our -80k on elevated seasonal pressure, and promo roll-offs. Video posted losses of -49k (vs. -55 JPMe). The company took a $276m goodwill impairment, and a $30m loss associated with the Northwest states asset sale regarding business-as-usual capex and depreciation, and this quarterly loss will continue until the deal closes. Neither financial nor transformation guidance was addressed in the quarterly materials or webcast, and we lower our 2019 EBITDA estimate to the low-end of the prior range. With the lack of nearly any incremental forward-looking clarity from management, we continue to view the equity as severely challenged as the business faces heavy cable competition across most of Frontier’s network and unsustainably high leverage – currently 4.9x on our 2019 estimated EBITDA. We maintain our Underweight rating and have no price target.

Subscriber base continues to weaken; broadband customers taking higher speeds. Frontier Broadband net losses were 71k, which was the same level as 2Q, but churn ticked up on seasonal pressure and promotional roll-offs, which should both ease in 4Q. The company is placing emphasis on selling to higher speed tiers, noting that over half of 3Q gross additions took speeds >250Mbps. Management expects more migration in 4Q, noting more aggressive promotional efforts for 500Mbps now that the network has completed 10 gig capability across its fiber footprint. We continue to look for 60k broadband net losses in 4Q, with improving data ARPU. The video business’ subscriber base continues to deteriorate as Frontier shifts focus away from selling, and we model similar rates of decline in 4Q and 2020.

We update our model following 3Q19 results. We maintain our cautious stance on Frontier’s cost management or revenue improvement efforts, and reduce 2019 revenue to $8.14b from $8.16b and adj. EBITDA to $3.35b (from $3.39b). With little equity float remaining today, we view Frontier’s equity as fundamentally challenged and unsustainably levered.  A major balance sheet restructuring will be necessary at the cost of massive equity dilution or elimination.  We maintain our Underweight rating and have no price target.
