Die weiteren Geschäftsaussichten der Gesellschaft beurteile man ebenfalls positiv. So erscheine es wahrscheinlich, dass die Dynamik des weltweiten E-Commerce im laufenden Jahr wieder an Fahrt gewinnen werde. Hiervon werde auch der Spezialist für Online-Bezahlsysteme voraussichtlich deutlich profitieren. Als Unsicherheitsfaktor für die weitere Geschäftsentwicklung sehe man allerdings die bekannt gegebene Absicht der Visa Inc. Cybersource erwerben zu wollen. Cybersource sei mit einem Transaktionsvolumen von etwa 130 Milliarden USD der weltweit größte Payment Solution Provider für Internet-Transaktionen. Wirecard habe im Vergleich zu Cybersource mit 2,15% eine etwa zehnmal so hohe Transaktionsmarge. Dies sei vor allem darauf zurückzuführen, dass Wirecard bei wesentlich mehr Transaktionen das Acquiring, also das Ausführen der Kreditkartentransaktion für den Online-Händler, übernehme. Das Acquiring könne bei den Kunden übernommen werden, wenn man wie Wirecard auch über eine eigene Banklizenz verfüge. Dies sei bei Cybersource nicht der Fall. Um den Kunden das Acquiring anbieten zu können, arbeite Cybersource mit Bankpartnern zusammen.

 

Deswegen hat Wirecard eine bessere Marge als Cybersource.

Im wohl spektakulärsten Vorgehen gegen organisierten Anlagebetrug hat die Staatsanwaltschaft München am Dienstag 48 Firmen- und Geschäftsräume durchsucht. Mehr als 30 Personen sollen gemeinschaftlich wertlose Aktien hochgejubelt und dann an arglose Anleger weiterverkauft haben. Drei Verdächtige sitzen in Untersuchungshaft.

ftd: Wirecard-Affäre - Großrazzia gegen Anlagebetrüger

 

Die Staatsanwaltschaft München hat nach über zweijährigen Ermittlungen den bisher größten Schlag gegen den organisierten Aktienbetrug in Deutschland geführt. Nach FTD-Informationen durchsuchten Ermittler bereits am Dienstag insgesamt 48 Büro- und Privaträume vor allem in Süddeutschland und Österreich - darunter pikanterweise auch die Büroräume der Schutzgemeinschaft der Kapitalanleger (SdK) in München. ....

 

... Inzwischen haben sich sowohl der Kreis der Beschuldigten als auch die Zahl der mutmaßlich manipulierten Aktien auf insgesamt 20 deutlich ausgeweitet. Im Fokus der Ermittlungen steht der organisierte Betrug mit sogenannten Penny-Stocks aus Nordamerika. Bei dieser Masche kaufen Betrüger für Kleinstbeträge wertlose Firmenmäntel auf, von denen es in den USA und Kanada Tausende gibt. Selten kosten diese mehr als 5000 Euro, weil Aktien teilweise nur für Bruchteile von Cent gehandelt werden.

Anschließend werden die Aktien umbenannt und im völlig unregulierten Freihandel der Frankfurter Börse zugelassen. Der Kurs wird mithilfe einer eigens gestalteten Internetpräsenz der Firma, windiger Börsenbriefe und Einträgen in Börsenforen in die Höhe getrieben - bis die Betrüger Kasse machen. Angesichts der zu Minipreisen erworbenen Papiere können die Kriminellen ihren Einsatz so bei überschaubaren Kosten verhundertfachen. ...

Unter fundamentalen Gesichtspunkten würd ich die Aktie nicht zwingend kaufen wollen. Als Zock bzgl. Übernahmenkandidat von Visa/Mastercard/Amex könnte sich der Deal aber ggf. auszahlen.

Straub und Bosler haben als Privatpersonen im großen Stil auf fallende Kurse gesetzt. ... Selbst als ihm das Unternehmen einen Anwalt mit zwei Boxern aus dem Rotlichtmilieu vorbeischickte, blieb er stur.
:D

 

In seiner Rücktrittsmail kündigte er an, er werde "im nächsten Jahr Ski fahren gehen, auf einer Hütte ein paar Bier trinken und dann wahrscheinlich irgendwo in den Schnee pissen".

 

Prophetisch kündigte er an, "dass mein Name gelegentlich wieder in der Presse auftauchen wird".

Die Aktie hat sich während den Einbrüchen in den letzten Wochen besonnen gezeigt und nun auf Wochenschlußbasis ein neues Hoch markiert. :thumbsup:

Frankfurter Börsenbrief - Wirecard Wachstumsunternehmen

Detmold (aktiencheck.de AG) - Die Experten vom "Frankfurter Börsenbrief" gehen bei der Aktie von Wirecard (Profil) per Stopp-Buy-Limit auf die Kaufseite.

 

Wirecard sei ein Wachstumsunternehmen. Nach vorläufigen Zahlen habe man im vergangenen Jahr den Umsatz um 19% auf 271,7 Mio. EUR steigern können. Das operative Ergebnis habe leicht überproportional um +20% auf 67,5 Mio. EUR zugelegt. Man beachte die beeindruckende operative Marge mit ca. 29,5%.

 

In diesem Jahr dürfte es zwei Sonderbelastungen geben: zum einen den Umzug der Firmenzentrale und zum anderen die einmaligen IT-Kosten - Gesamtvolumen ca. 5 Mio. EUR. Gleichwohl dürfte man den Ertrag weiter verbessern. Einen guten Eindruck mache auch die Bilanz. Die bilanzielle Eigenkapitalquote habe per 30. September 53,5% betragen. Auf der Aktivseite habe ein dickes Cash-Polster (Zahlungsmittel und -äquivalente) in Höhe von 194,7 Mio. EUR (Anteil an der Bilanzsumme: 37,7%) geschlummert.

 

Die Experten vom "Frankfurter Börsenbrief" gehen bei der Wirecard-Aktie per Stopp-Buy-Limit auf die Kaufseite mit einem längeren Anlagehorizont von 12 bis 18 Monaten. Das Kursziel werde bei 18 EUR gesehen. (Ausgabe 12 vom 26.03.2011) (28.03.2011/ac/a/t)

Wer in diesem Thread schon 2009 beteiligt war, hat möglicherweise erstklassig verdient, die Aktie hat sich seitdem vervierfacht. Was das KGV angeht (rund 28) kann man hier sicher nicht von Attraktivität sprechen. Aber der Rest scheint gerade sehr zu stimmen.Ein Jahresumsatzwachstum von über 20% und vor allem hochaktuell auf neuem Expansionskurs:

 

2012 hat das Unternehmen seine Mitarbeiterzahl um fast 30% erhöht (auf 674) und seit kurzem ist auch klar warum: Wirecard wickelt für die Telekom, Vodafone und O2 das neue mobile Bezahlverfahren mPass (per NFC) ab. Dass diese drei Marktschwergewichte sich zusammengetan haben und ein gemeinsames Ziel verfolgen, lässt mich aufhorchen. Zusammen verfügen sie über eine erdrückende Marktmacht, das System ist darüber hinaus auch für Konkurrenzkunden eingeschränkt geöffnet. Handys ohne NFC lassen sich per Aufkleber (!) nachrüsten, d.h. theoretisch könnte man diesen Aufkleber auch auf etwas anderes kleben, was wiederum das Marktpotential erhöht.

 

Ich sehe hier ein gewaltiges künftiges Marktpotential. In Polen verfügt angeblich schon ein großer Anteil Supermarktkassen über das System und Einzelhändler sollen - dem "Effekten Spiegel" zufolge ihre Kassensysteme im Schnitt alle 6 Jahre erneuern, so dass auch in Deutschland schnell ein Markt entstehen könnte. Das System ist für den Kunden komplett kostenlos und damit attraktiv - Wirecard als reiner Abwickler wird sich natürlich trotzdem bezahlen lassen. Letztlich subventionieren die Mobilfunkanbieter Wirecard hier also möglicherweise einen Markt.

 

Wie beurteilet Ihr die Situation? Seht Ihr weitere Vorteile, oder aber auch Gefahren?

Ich beurteile zum jetzigen Zeitpunkt die weiteren Aussichten von Wirecard sehr positiv. Warum?

  1. Der Payment-Bereich wird auch in den nächsten Jahren weiter wachsen, denn immer mehr Zahlungen erfolgen fernab von normalen Banküberweisungen.
  2. Der Ausbau des Mobil-Lösungen könnte ein weiterer zukünftiger Wachstumstreiber sein.
  3. Bestehende Kooperationen mit Vodafone und Co. könnten schnell neues Wachstum im Mobil-Bereich bringen.
  4. Die neue Mobil-Payment Lösung könnte auch den Bestandskunden angeboten werden.
  5. Wirecard ist noch einer der wenigen unabhängigen und bösennotierten Payment-Anbieter, daher ist eine mögliche Übernahme in den nächsten 5 Jahren sehr wahrscheinlich

Mögliche Gefahren könnten sein:

 

  1. Die Investitionen in den Bereich Mobil-Payment zahlen sich nicht aus, da die kritische Anzahl an Kunden nicht gewonnen wird. zu große Konkurrenz.
  2. Abflachende Dynamik im Payment-Bereich durch starke Wettbewerber wie Mastercard, Visa, Dt.Telekom, Paypal, etc.

 

 

Fazit

 

Für Wirecard wird auch in Zukunft viel Platz in dem Payment-Bereich sein.

Wenn die Kreditkartengebühren tatsächlich so radikal gekürzt werden sollen, kann das für Wirecard gefährlich werden. Zumindest ist das Unternehmen damit für mich kein chancenreicher Wachstumswert mehr. Bis die Auswirkungen auf das Geschäft klarer werden, bin ich erstmal draußen (mit gutem Gewinn natürlich :) )

 

P.S.: Jetzt mus ich mich trotz der Gewinne ärgern. Nach den Quartalszahlen schießt Wirtecard nochmal nach oben. Hätte die Aktie wohl besser 6 Tage länger behalten - hinterher ist man schlauer... dennoch bleibe ich bei eienr vorsichtigen Langfrist-Einschätzung angesichts der EU-Pläne und bleibe draußen.

Ich würde sehr gerne eure Einschätzung aktuelle über Wirecard wissen.

 

Die Zahlen für Q3 sind am Dienstag erschienen. Die Bewertung von Wirecard ist nicht gerade "attraktiv".

 

Analysten setzen die Kurse hoch - macht mich immer ein wenig skeptisch !

 

Der Kurs ist um circa 5% gestern gefallen.

 

Sehe Wirecard als Langfristinvestment > 5 Jahre, habe z.B. Dialog (DLG) seit 2009 im Portfolio, wird mal wieder kräftigen "geshortet" zur Zeit.

 

Gab es in der Vergangenheit "Shortattacken", wie ist die Lage zur Zeit ?

In den ersten neun Monaten 2013 stiegen die konsolidierten Umsatzerlöse um 22 Prozent gegenüber dem Vorjahreszeitraum auf 341,1 Mio. Euro. Das operative Ergebnis vor Zinsen, Steuern und Abschreibungen (EBITDA) im Konzern erhöhte sich in den ersten neun Monaten 2013 um 15 Prozent auf 89,8 Mio. Euro (9M/2012: EUR 78,1 Mio.). Bereinigt um die ergebniswirksamen Investitionen in das neue Geschäftsfeld Mobile Payment hätte das EBITDA-Wachstum 24 Prozent betragen.

 

Im dritten Quartal 2013 erhöhten sich die Umsatzerlöse im Konzern um 23 Prozent auf 125,0 Mio. Euro (Q3/2012: 101,6 Mio. Euro). Das EBITDA erhöhte sich um 17 Prozent auf 33,6 Mio. Euro (Q3/2012: 28,8 Mio. Euro).

 

Der Cashflow aus laufender Geschäftstätigkeit (bereinigt) beläuft sich nach den ersten neun Monaten 2013 auf 77,9 Mio. Euro (9M/2012: 65,3 Mio. Euro). Zum Stichtag 30. September 2013 beträgt das Ergebnis je Aktie EUR 0,51 (9M/2012: EUR 0,48)

 

Innerhalb der ersten neun Monate des aktuellen Geschäftsjahres ist das über die Wirecard-Plattform abgewickelte Transaktionsvolumen um 28 Prozent auf 19,0 Mrd. Euro gestiegen. 3,0 Mrd. Euro oder 16 Prozent hiervon wurden in Asien generiert.

 

Die positive Entwicklung des Kerngeschäfts, das sich aus globaler Zahlungsabwicklung, Risikomanagement und Zahlungsakzeptanz zusammensetzt, basiert im Wesentlichen auf drei Faktoren: dem nachhaltigen Wachstum des E-Commerce-Marktes, einer kontinuierlichen Neukundengewinnung sowie der Innovationskraft von Wirecard.

 

'Erfreulich sind zudem unsere Erfolge im neuen Geschäftsfeld Mobile Services, das sowohl Mobile Payments als auch mobile Zahlungs- und dazugehörige Mehrwertdienste umfasst', sagt Wirecard CEO Markus Braun. 'Mit dem Start der europäischen Mobile Payment-Initiativen haben wir uns als führender Partner für mobile Bezahllösungen etabliert.'

 

Wirecard bietet seinen Kunden neueste Technologien, transparente Echtzeit-Reporting-Dienstleistungen sowie die Unterstützung bei der Entwicklung internationaler Payment-Strategien in allen Vertriebskanälen; offline, online und mobil.

 

Der Vorstand der Wirecard AG konkretisiert seine bisherige EBITDA-Prognose für das Geschäftsjahr 2013 von 120 bis 130 Mio. Euro auf 123 bis 128 Mio. Euro. Hierbei sind die Investitionen in das neue Geschäftsfeld Mobile Payment bereits berücksichtigt.

Ich bin insgesamt eher kritisch eingestellt. Mobile Payment ist nett, aber ist der aktuelle Hype darum nicht etwas zu groß?

Nur mal drei Punkte:

 

- Welchen echten Mehrwert hat die NFC-Zahlung gegenüber EC- oder Visa-Karte für den Kunden?

 

- Die Kreditkartengebühren wurden masiv gedeckelt. Das trifft Wirecard zwar nicht direkt, doch wenn die Konkurrenz billiger wird, muss man irgendwann mitziehen; erst recht, wenn man ohnehin den kleineren Marktanteil hat

 

- Es gibt massive Konkurrenz, an mobile payment will momentan fast jedes Tech-Unternehmen verdienen (Google, Ebay, Amazon,...), die großen Player dort werden nicht auf Wirecard angewiesen sein

 

 

Klar gibt es immer noch Visionen und Entwicklungspotential, keine Frage. Mein persönliches Urteil lautet momentan aber: Zu riskant angesichts der Bewertung.

Andererseits ist Risiko ja häufig mit umso größeren Renditen verknüpft, wenn es doch gutgeht :)

hatte wirecard eine weile lang im depot, zugegebenermaßen etwas zu früh verkauft. aber jetzt ist die aktie nicht mehr attraktiv bewertet für einen neueinstieg!

wiederaufladbare Guthabenkarten, einzel- oder mehrwährungsfähige

EBITDA:

+37,1% auf EUR 46,0 Mio. (Q3 2013: EUR 33,6 Mio)

 

EBITDA-Marge:

im 9-Monatszeitraum 2014 28,5 Prozent (9M 2013: 26,3 Prozent)

 

Zudem noch einen ambitionierten Ausblick. Margen und Wachstum aus meiner Sicht sehr gut. Zukunftsorientiertes Unternehmen. Aber nicht billig.

Ja, wie der Goldfuchs schon sagt. Ein Rentenpapier! :D Der Beitragsanzahl nach hat er sich wohl wieder in seinen Bau zurückgezogen und harrt der Dinge, die da noch kommen.

 

 

Derweil muß man bei Wirecard bewertungstechnisch schon beide Augen zudrücken. Dennoch sind die Wachstumzahlen 2014 schon sportlich:

 

Umsatz:

+24,8 Prozent auf EUR Mio. 601,0 (Vorjahr EUR Mio. 481,7)

 

EBITDA:

+37,3 Prozent auf EUR Mio. 172,9 (2013: EUR Mio. 126,0)

 

Cashflow aus laufender Geschäftstätigkeit (bereinigt):

EUR Mio. 144,0 (2013: EUR Mio. 107,5)

 

EPS:

0,89 €

 

Eigenkapitalquote:

53,8%

 

 

Ausblick bleibt sehr dynamisch

 

 

Der Vorstand der Wirecard AG zeigt sich hinsichtlich der

Geschäftsentwicklung optimistisch und erwartet 2015 einen operativen Gewinn

vor Zinsen, Steuern und Abschreibungen (EBITDA) zwischen 210 Millionen Euro

und 230 Millionen Euro.

 

Aktie ist sch***** teuer geworden, trotzdem ist mir das erstmal egal, solange das Wachstum stimmt. Der Markt, in dem Wirecard operiert, gefällt mir und ist zudem zukunftsträchtig.

Wirecard is a little known German tech stock worth €5bn, and a puzzle. It offers payment services, owns a Munich bank, and transacts millions of online credit card payments behind the scenes at familiar websites. It grows at breakneck pace, but buys obscure payment companies around the world which keep the growth going.

The company says it was founded in 1999, but it went bust after the dotcom crash. The real beginning was 2002, when chief executive Markus Braun took over and injected cash. Three years later Wirecard joined the stockmarket through the reverse takeover of a defunct call-center business. Allegations of balance sheet inconsistencies were made in 2008. The accuser subsequently landed in jail, and the stock has since been a rocket, rising eightfold.

 

Enthusiastic investors have given Wirecard half a billion euros to spend, and the company used much of it to buy customers, so-called portfolios of relationships, piling almost all the cash its business has produced since 2009 into these customer relationships.

 

The puzzle is an accumulation of questions: why does the company pay big sums upfront, months before deals complete? Why are key parts of transactions not fully transparent? Why spend millions on struggling Asian businesses? Why do accounts filed in Singapore not match totals reported in Germany? What are €670m of intangibles on the balance sheet really worth?

 

Cash up-front

 

Consider the pre-payments. Before October 2010 Wirecard had announced smaller deals, and it has done so since, but that month the company made no mention of a €13m “pre-payment”. The sum was only recorded in notes to the annual report, and again in a table published two years later reclassifying €13m as “customer relationships”.

 

The company told us the prepayment was part of a deal announced 14 months later, in December 2011, to buy Singapore payments group Systems@Work. The pre-payment was not disclosed at the time, for a transaction described as comprising €34m in cash, €13m in future “earn-out” payments, and the assumption of €12m of liabilities.

 

Wirecard says pre-payments secure the exclusive right to negotiate, and they are a feature of its Asian deals. For the December 2012 purchase of Trans Infotech, a provider of payment services for banks in Vietnam, Cambodia and Laos, it paid €17m of the €21m price in advance. Buying PT Aprisma Indonesia for €73m (including assumed debt, but before €15m of earn-outs) last year, Wirecard paid €26m months before closing.

 

“I don’t know of any clients who would pay a substantial amount of the purchase price at signing, or to get exclusivity. That’s not a feature I saw in Asian deals”, said one veteran M&A lawyer who declined to speak on the record. “It is not completely unheard of for a company to ask for a 5 per cent deposit, which ends up becoming a break fee, but it’s kind of rare for buyers who are well known to agree to it.”

 

Mr Braun said “we don’t see this really as a pre-payment or a down-payment”. He said money either goes into escrow, or the company takes assets to keep if a full deal falls through. “Its just a very smart way to structure M&A”.

 

Gary McLean, Corporate Partner at Allen & Overy, said that sometimes in Asian deals full payment might be placed in escrow, to show the money is fully available, or to appear as an attractive purchaser versus other buyers. “More often you would get between 5 per cent to 20 per cent in escrow, as a tangible token of good faith and evidence of creditworthiness”. However he said it would be unusual for a large listed company to do so, but particularly rare to give sellers use of cash before the buyer takes control of the target assets. “That’s relatively unusual, because the creditworthiness of the listed buyer should not be a concern if it is an escrow payment, and if you allow use of the purchase consideration itself in the interim period it is akin to a loan”.

 

A portfolio here, a portfolio there

 

The structure of some Wirecard transactions is also unusual, with purchases of portfolios of customer relationships disclosed only in Singapore corporate filings. For instance, the €12m of Systems@Work debt was a loan from Wirecard made after the deal was announced “for the acquisition of intangible assets from a third party”, according to the local accounts.

 

No debt was mentioned in the announcement of the €21m Trans Infotech deal. Yet Singapore filings show on the day it was announced Trans Infotech used the proceeds of a promissory note to buy “a portfolio of customer relationships with certain merchants” for €16.7m. Perhaps unusual for a Singapore business, the consideration was in euros.

 

Mr Braun says “At such owner led companies… sometimes you have to buy out third party shareholders, or you have to take over assets of sister companies. This is then part of the purchase price”. Wirecard said the loan to Systems@Work was agreed before the deal was announced, and the structure of the Trans Infotech deal reflected an “owner driver heterogenous group”.

 

Customer lists and intangible values

 

When Wirecard buys a company, it must record the investment on its balance sheet. Most of the value is typically ascribed to “customer relationships” an accounting convention to reflect the value of repeat customer business, an alternative to the intangible catchall “goodwill”. In one sense it’s an accountant’s shrug, to note where money went.

 

Yet Wirecard treats customer relationships as real assets. It has a transaction based business model, so says buying customers is a way to sell more payment services. In 2006 it paid €18m for a portfolio of customer relationships, then gave another €17m to the unnamed sellers a year later, saying profits were larger than expected. Occasional purchases of a similar size continued: it told the Financial Times a €15m pre-payment at the time of the Trans Infotech deal was for the purchase of customer relationships from a “sales partner”, completed a year later.

 

The growth in such customer relationships has been considerable, from €49m in 2009, when the company started to buy-up Asian payments companies to €340m at the end of last year. Investment in these customers, would have accounted for almost all of the cash generated by Wirecard’s operations over the period, however the company raised €139m from shareholders in 2012, and a further €357m at the start of last year.

The unusual nature of the deals and the swift rise in intangible assets invites scrutiny. “I’d look at something that doesn’t seem to fit”, said Stella Fearnley, professor in accounting at Bournemouth University, who advised how to check financial statements: “when you get down to it, you are looking for fake assets or unrecorded liabilities. Everything on a balance sheet, if it isn’t cash, should be generating cash.”

 

Singapore filings suggest some of the businesses acquired were in poor shape. Trans Infotech PTE ltd lost money in 2012, liabilities exceeded assets and auditors warned it might not remain a going concern. Further losses followed in 2013, and credit extended to customers “past due” more than doubled, to S$4m. Singapore auditors also warned PaymentLink was a going concern risk the year before it was acquired by Wirecard.

 

Mr Braun says previous arrangements at companies he buys mean “a subsidiary or one part of the company is not showing its full strength, this is exactly why we do such structuring. The first day we take them on, they are all highly profitable”. Wirecard said PaymentLink was profitable, with some business fields terminated and others strengthened. “Especially some inter-co agreements in the past caused negative results, which were also terminated before closing.”

 

Which set of accounts?

 

There appear to be discrepancies between different sets of accounts. Singapore filings for Systems@Work, those for a Wirecard subsidiary filed at the German Federal Gazette, and the consolidated group accounts all stated different values for Systems@Work net assets and profits. The company said the different totals reflect different accounting standards and the day of consolidation.

 

According to Wirecard financial statements, 2012 sales for Trans Infotech PTE ltd were €9m. Accounts filed in Singapore describe sales of only €3m. The company said the €9m figure reflected contributions from “further sister companies (not subsidiaries)” purchased as part of the transaction.

 

There are some apparent discrepancies in Wirecard’s consolidated accounts as well, when comparing cash flows with movements in balance sheet totals.

 

For instance, in 2012 and 2013 the balance sheet and cash flow figures related to a c€36m increase in “sales partner financing” do not correspond. It is only over two years that they almost tally. Wirecard said “a loan was given out in 2012 and it was cash relevant in the next period”.

 

In the first quarter of 2014 the value of customer relationships on the balance sheet rose €68m, a period when the consolidation of PT Aprisma Indonesia boosted the figure by €59m (a lower amount than the €67m value described in the 2013 annual report). The company said additional earn out payments on transactions which had already closed were responsible for the rest of the rise in the value of customer relationships. Some might consider it unusual for the the payment of “earn outs” to result in new assets recognised on a balance sheet, given the payments relate to assets a company already owns.

 

Facing the critics

 

Wirecard has faced critical scrutiny before. In 2008 a senior officer of a German investor association alleged balance sheet inconsistencies. He later resigned, was investigated in connection with price manipulation and trading ahead of publication in several stocks, including Wirecard, and received a fine and prison term.

 

Mr Braun, whose personal stake in Wirecard is worth about €270m, said any public company must face such critics. Ernst & Young was hired to investigate the 2007 annual report and statements concerning an acquisition made that that year, giving Wirecard a clean bill of health. The annual report for 2009 was also audited twice, by both Wirecard’s small Munich accounting firm and Ernst & Young. E&Y has since taken over as group auditor.

 

“The big mistake was [critics] thought the customer relationships we have on our balance sheet were not related to the main transactions but additional transactions”, said Mr Braun.

 

To the suggestion the accumulation of questions may indicate problems with the nature of Wirecard’s growth, and that the accounts give an unclear picture of the business, he pointed to 17 analysts covering the company, and its high profile auditor and advisors. He said, “its bullshit, why should I do this, I am a shareholder of this company for 12 years, I have been running this company for 12 years, why should I take this risk?”

Wirecard Gibraltar and an asset rich wind-up

 

Gibraltar places few obligations on companies to report. Filings can be sparse and, in practice, lodged years after the financial events they record. Yet even limited information may be useful: in the case of Wirecard Gibraltar, it shines a light on a subsidiary subject to a long liquidation.

 

The entity, which appears to have contained around €50m in retained earnings and a larger amount of intangible assets, remains in the wind-up process more than two years after being placed in a solvent liquidation by Wirecard, the German listed electronic payment provider valued at €4.6bn.

 

Documents filed in the British Overseas Territory contain different figures from those in accounts filed in Germany, variations the company says are due to differences in accounting standards.

 

 

An early subsidiary

 

Wirecard was founded in 1999, backed by venture capital, but went bust following the dotcom crash. The company was recapitalised in early 2002, in part with money from the incoming chief executive Markus Braun. When merged into call centre group InfoGenie at the start of 2005, gaining a stock market listing by reverse takeover, Wirecard was described as a wholly owned subsidiary of “ebs Holding AG”.

 

Electronic Business Systems was another payment company, also based just outside Munich, founded in 1998 by Paul Bauer-Schlichtegroll, who would go on to sit on the Wirecard supervisory board for several years. The relationship between EBS and InfoGenie dated back to at least 2002, when a “strategic commitment of ebs Holding AG” to integrate a subsidiary into InfoGenie helped stabilise the call centre operator struggling with losses and the departure of key staff at the UK subsidiary following “a critical due diligence audit”, according to the annual report.

 

Wirecard Gibraltar was established in 2005. Mr Braun, still chief executive, told us merchants wanted services provided from the territory.

The Gibraltar Registrar of Companies holds balance sheet filings for Wirecard Gibraltar for 2005 to 2010.

 

The 2005 document, filed in May 2011, is largely blank. It details only share capital of €149,510, which might be considered odd given the £100,000 (€150,000) capital increase used to fund Wirecard Gibraltar occurred in 2006, according to Wirecard’s annual report for that year:

 

In the year under review, a non-cash capital increase was effected in connection with the acquisition of a customer portfolio, from 100 shares to 100,000 shares of 1 GBP each.

 

A “notice of increase of nominal capital” filed in Gibraltar reports the capital increase was the subject of a December 2006 resolution.

 

We asked Wirecard how the capital had appeared to arrive early. The company said:

 

The money you refer to did not ‘arrive a year early’. This is clear from the 2005 filing itself, which states the same figure as a trade receivable. This clearly shows that the money had not arrived in 2005. It arrived in 2006.

 

The 2005 balance sheet for Gibraltar was filed in 2011, at the request of the Gibraltar authorities. As we already had the figure of the share capital on the 2006 Gibraltar filing, we simply transcribed this across to the 2005 balance sheet, together with the same figure as a trade receivable.

 

Profits in their place

 

Wirecard’s annual report for 2005 recorded a “contribution to earnings before consolidation” from Gibraltar of €2.3m.

 

The next annual report attributed revenues of €6.3m and operating profit of €2.3m to “Europe” for 2005. At the time the non-German operations for Wirecard were Gibraltar and the remnants of InfoGenie, which reported turnover of about €600,000 in 2005, and minimal operating profit.

 

The annual report details revenues of €28.6m from Europe for 2006, and operating profit of €6.2m.

Accumulated profits of €8.4m in the 2006 Gibraltar accounts match net profit numbers reported for the subsidiary by Wirecard over two years: €6.1m in the 2006 Wirecard AG local accounts lodged at the Federal Gazette, plus the €2.3m profit for 2005 mentioned above. The Federal Gazette does not have electronic copies of accounts for 2005 or earlier.

 

Wirecard said “2005 was not a full year of operation for Wire Card (Gibraltar). The 2005 financial figures for Wire Card (Gibraltar) were included in one filing in 2006, which comprised the extended fiscal year (2006 and part of 2005). This is standard practice in many jurisdictions.”

 

The Wirecard Gibraltar accounts for 2006 (filed in April 2010) list €30m of year end trade receivables — sales recognised but where cash is yet to be collected — more than the total for European revenues reported in the table above.

 

The company said: “As the consequence of the business model, trade receivables include transaction volumes (gross volumes) from the acquiring business as receivables. In the P&L you just find the commissions (typically a small single digit percentage of the transaction volume) as revenue.” It also referred us to point 3.6 in the group accounts for a more detailed description of the process.

 

Point 3.6 in the 2014 annual report includes such a description. “As the consequence of the business model, trade receivables include transaction volumes (gross volumes) from the acquiring business as receivables. In the P&L you just find the commissions (typically a small single digit percentage of the transaction volume) as revenue.” Language describing the effect appears in the annual reports from 2008 onwards.

 

Different standards

 

In 2007 Wirecard purchased another European business, Trustpay International, so it is not possible to compare figures for Europe in the consolidated accounts with those for Wirecard Gibraltar. However German accounts filed at the Federal Gazette each year list all the subsidiaries of Wirecard, each with figures for equity and net profit, which can be compared to the Gibraltar documents.

The local filings report an accumulated profit number. The change each year corresponds to net profits reported in the German filings, minus dividends paid up to the parent, except for 2008, where an apparent mismatch 0f €0.66m corresponds to an apparent mismatch between the equity figures for that year.

The company said:

 

In 2006 the German filing shows the equity excluding the 2006 profit of €6.11m. From 2007, the German filings show the equity including the 2007 profit.

 

The reason for the 2008 differences in figures is solely differences between IFRS (Gibraltar) and local GAAP (Germany) specifically with regard to different valuation methods for valuation of assets. The same reason explains the differences in 2009 and 2010.

 

A long liquidation

 

The final balance sheet available for Wirecard Gibraltar is 2010, but the German filings provide some numbers up to the end of 2013, the latest available.

A voluntary wind-up order was filed in March 2013, and the Gibraltar filings show no conclusion to the liquidation. In March 2013 the sole director of Wirecard Gibraltar, Maurice Heller, declared (with our emphasis):

 

I have made a full inquiry into the affairs of this Company and that having done so, I have formed the opinion that
this Company will be able to pay its debts in full within a period, not exceeding 12 months, from the commencement of the winding-up.

 

The Maurice Heller who described himself as a director of Wirecard Gibraltar on Linkedin said he was no longer a director of the entity, but is “still working for the concern group”. He did not respond to questions about the status of the Gibraltar company by Linkedin message. Moe Cohen, director of Benady Cohen & Co and the appointed liquidator to Wirecard Gibraltar, asked to be sent questions by email and then did not respond further.

 

The company said:

 

In the last years of Wirecard Gibraltar’s operations, Gibraltar was becoming less relevant as a location for online merchants in all sectors and other jurisdictions such as Ireland and the UK were favoured. After the significant number of M&A transactions, we were also seeking to streamline the global group structure wherever possible by not having too many subsidiaries. Wirecard Gibraltar was therefore put into a solvent liquidation in 2013.

 

It also said, “All the necessary documentation was given to the local authorities and the liquidation remains in progress without any delay and issues. All third party debts were paid.”

 

In the eight years Gibraltar was operational, Wirecard reported €92m in profits from the subsidiary and withdrew €38m in declared dividends.

 

We asked Wirecard what happened to the assets on the balance sheet of Wirecard Gibraltar, worth €67m as of the end of 2010, and around €50m of retained earnings. It said:

 

The assets were transferred to other group companies (without any impact on the group´s balance sheet and the group´s P&L). The retained earnings will be transferred to the parent company with the finalisation of the liquidation.

Die Aktie ist nun wieder deutlich zurückgekommen und ein Aufbau einer ersten Position ist durchaus vertretbar. Das Geschäftsfeld ist dynamisch und bietet weiter Potenzial. Für mich weiter eine der interessantesten Aktien in TecDax. Das Unternehmen vermeldet in regelmäßigen Abständen Neuverträge und wird derzeit eher durch Shortseller unter Druck gesetzt, weniger durch den Gesamtmarkt. Die Kurseinbrüche rühren m.M. nur daher. Das hat auch der Vorstand wohl zuletzt so erkannt und kauft fleißig ein.

Das Unternehmen vermeldet in regelmäßigen Abständen Neuverträge und wird derzeit eher durch Shortseller unter Druck gesetzt, weniger durch den Gesamtmarkt. Die Kurseinbrüche rühren m.M. nur daher. Das hat auch der Vorstand wohl zuletzt so erkannt und kauft fleißig ein.

 

Naja, ein KGV von über 40 ist schon sportlich. Der neue Markt lässt grüßen. Hoffentlich ist hier nicht schon zuviel Zukunftsphantasie drin.
